1. Who we are and what these Terms cover
Argus is operated by NovAI Limited, Hong Kong ("NovAI", "we", "us" or "our"). These Terms govern your access to and use of the Argus websites, command-line client, APIs, MCP endpoints, authentication pages, documentation, data packages and related services (together, the "Service").
By creating an account, using GitHub to register, or otherwise accessing an authenticated part of the Service, you agree to these Terms and acknowledge the Argus Privacy Notice. If you use the Service for an organisation, you confirm that you have authority to bind that organisation. If you do not agree, do not register or use the Service.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into this agreement.
- Registration information must be accurate and kept current. You are responsible for safeguarding your password, local OAuth credentials, API keys and devices.
- Do not share personal accounts or credentials, impersonate another person, or use another person's GitHub account without permission.
- Notify us promptly at [email protected] if you suspect unauthorised account access. Logging out of the CLI removes its locally stored OAuth credential; it does not by itself delete your Argus account.
3. Permitted use
Subject to these Terms, applicable documentation, rate limits, permissions and third-party data licences, we grant you a limited, revocable, non-exclusive and non-transferable right to access the Service for lawful research, analysis, software development and other purposes expressly supported by the applicable interface.
- Use only the scopes, tools and data fields granted to your account.
- Preserve source attribution, provenance, timestamps and licence restrictions returned with data.
- Comply with applicable market-data, exchange, issuer and source terms before displaying, copying or redistributing output.
- Independently verify material information before relying on it.
4. Prohibited use
- Do not use the Service for unlawful, fraudulent, deceptive, abusive or rights-infringing activity.
- Do not bypass authentication, permissions, output controls, rate limits, licence gates, safety controls or technical restrictions.
- Do not probe, scan or test vulnerabilities without our prior written authorisation, disrupt the Service, introduce malicious code, or overload infrastructure.
- Do not resell, republish or redistribute restricted data unless both Argus and the underlying source permit it.
- Do not use output to make or execute a financial decision without appropriate independent review, or represent Argus output as guaranteed, complete, real-time or investment advice.
- Do not use the Service to identify, profile or make consequential decisions about individuals except where lawful, necessary and expressly supported.
5. Financial-data and AI-agent notice
Argus provides structured factual data, provenance, evidence pointers and technical interfaces. It is not a broker, investment adviser, exchange, credit-rating agency, fiduciary or tax, legal or accounting adviser. Nothing in the Service is an offer, solicitation, recommendation, valuation, price guarantee or personalised advice.
Financial and business data can be delayed, incomplete, revised, unavailable or incorrect. Source timestamps, known-at timestamps and evidence are part of the output and must not be discarded. AI agents can misunderstand instructions or data; you are responsible for human review, configuration, downstream actions and compliance. Do not place trades or take other consequential action solely from Argus output.
6. Third-party services and data
The Service may interoperate with GitHub, Casdoor, email delivery services, public authorities and third-party data providers. Their services and content are governed by their own terms. A link, provider name or evidence pointer does not imply endorsement. We do not control third-party availability, accuracy, security or policy changes.
Rights in source materials remain with their respective owners. Facts may be reusable while source expression, documents, logos, databases or feeds may be restricted. You are responsible for determining whether your intended use and redistribution are permitted.
7. Our materials and open-source software
Argus names, branding, website design and service content are owned by NovAI or our licensors. The source code made available in a repository remains governed by the licence included with that repository. These Terms do not override an applicable open-source licence, and an open-source licence does not grant a right to use our trademarks or hosted Service.
8. Service operation and changes
We may maintain, change, limit, suspend or discontinue all or part of the Service to protect users, comply with law, address security or licensing risks, or improve operations. We do not promise uninterrupted availability, any particular dataset, feature or retention period unless a separate written agreement says otherwise. Preview, beta and experimental features may change without notice.
9. Suspension and termination
You may stop using the Service at any time and request account deletion as described in the Account Deletion Guide. We may restrict or terminate access where we reasonably believe you breached these Terms, created security or legal risk, failed to pay an agreed charge, or where continued service is no longer practicable. Where appropriate, we will give notice and a reasonable opportunity to remedy.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and uninterrupted or error-free operation. We do not warrant the accuracy, completeness, timeliness or continued availability of data or output. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, NovAI and its affiliates, officers, employees, suppliers and licensors will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profits, revenue, business, goodwill, data or trading opportunity arising from the Service. Our aggregate liability relating to the Service will not exceed the greater of USD 100 or the amount you paid us for the Service during the twelve months before the event giving rise to the claim.
These limitations do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law. Mandatory consumer protections remain unaffected.
12. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Before filing a claim, please contact us and allow a reasonable opportunity to resolve it informally. Subject to mandatory rights available in your place of residence, the courts of Hong Kong have exclusive jurisdiction.
13. Changes to these Terms
We may update these Terms when the Service, law or our practices change. We will publish the new effective date and version. For a material change, we will provide reasonable advance notice through the Service or by email where practicable and will request renewed acceptance when required. Changes do not apply retroactively unless the law requires it.
14. General
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. Our failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a reorganisation, financing, merger or sale, subject to applicable law. These Terms, the Privacy Notice and any applicable written service order form the agreement for the hosted Service.
15. Contact
Questions about these Terms may be sent to NovAI Limited at [email protected]. Do not send passwords, access tokens, refresh tokens, API keys or other authentication secrets by email.
